Terms & Conditions.

By (i) using the Platform or availing the Services provided through the Platform in any way, or (ii) browsing the Platform, the User is deemed to have read, understood and accepted the T&C as well as the privacy policy, which is available on the Platform.

The User acknowledges that by accessing and using the Platform and availing any of the Services, it agrees to be bound by the T&C. The T&C establish a relationship between Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited) and the User, whereby the User shall not acquire any rights, title or interest, of whatsoever nature, in or to the capacity, as the case may be.

In the event the User is not agreeable to the T&C, it shall not access the Platform or avail the Services.

The T&C contained herein expressly supersede all prior agreements or arrangements between Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited) and the User.

The User understands that the access to the Platform and the offer of Services is conditional upon the User’s irrevocable consent and acceptance of all the terms, conditions and obligations contained in the T&C, as may be amended from time to time.

The User would be able to use the platform by signing-up by providing Mobile Number and OTP.

The User would be able to able to transact in financial securities shown on the platform after successful completion and verification of its KYC (Know Your Customer) norms.

The User would be able to log-on to the platform by providing its Mobile Number and verifying it by OTP(s). Payment for the said financial securities would be processed via a registered Payment Gateway, and the User would be able to pay via any of the provider payment methods.

In order to access the Platform and to obtain the benefit of the Services, the User will have to register and create an account by providing accurate and complete information.

The User agrees and acknowledges that the User shall be responsible to provide complete and accurate information to Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited) for the purpose of know-your-customer (KYC) verification.

The User agrees that its usage of the Platform and viewing various financial instruments offered by or through the Platform, shall not in any way imply, suggest, or constitute any sponsorship, recommendation, opinion, advice (whether investment or legal) or approval of Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited) in favour of or against the own or such third parties or their products.

The User agrees, undertakes and declares that it has made its own assessment of the suitability of any investment in or through the Platform.

The User agrees and acknowledges that all transactions entered into through the Platform shall be at the sole discretion of the User and that Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited) shall not be liable for any delay, rejection or approval of any application/process/ made through the Platform, or any failure on part of the User to act in accordance with the terms applicable.

Without prejudice to the above, the User hereby agrees, acknowledges and accepts that Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited) may, for the purpose of rendering the Services, seek to obtain such necessary and requisite information and data as required by it from various authorities across India or any other jurisdiction or limited to statutory and regulatory filings, credit bureau records and such other sources as derive arising of out its sole discretion, as required by it to effectively render its Services and the User hereby accords and provide consent for the same.

The User agrees to access any information and material provided on the Platform and the User shall use the Services and avail the same through the authorised access provided by Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited).

The User shall not use or attempt to use any unauthorised means, including but not limited to, use of any deep link, program, automatic device, algorithm or methodology, or any process or methodology, or any similar or dissimilar process, to access, acquire, copy or monitor any portion of the Platform or its content, or in any way reproduce or circumvent the navigational structure or presentation of the Platform or any content.

The User undertakes not to attempt to gain unauthorised access to the Platform, the server on which the Platform is hosted or any other database, server or computer connected to the Platform.

The User shall not misuse the Services or corrupt or try to corrupt the Platform by introducing any bugs, viruses, worms, malwares, spyware or any similar program which is malicious or harmful.

The User further undertakes that it (i) impersonate any person or entity, or misrepresent its affiliation with a person or entity; (ii) publish, post, upload or distribute files that contain bugs, viruses, worms, malwares, spyware or any similar program; or such other files that may disrupt the operation of the Platform; (iii) engage in any activity that disrupts access to the Platform or the Services; (iv) disrupt or interfere with the security of, or otherwise cause harm to, the Platform, accounts, passwords, servers or networks connected to or accessible through the Platform.

The User acknowledges and agrees that all information, data or details in any form whatsoever to the Platform, its single, structure and arrangement, visual interfaces, specifications, documentation, components, source code, object code, images, code, audio-visual components and objects, schematics, drawings, protocols, processes, and other visual depictions, in whole or in part in addition to all documents, data, papers, statements, and substance customer information, trade secrets and process of Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited) relating to its business operation or in connection with the provision of services by Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited) ("Confidential Information") shall be the sole and exclusive property of Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited).

The User undertakes to keep all Confidential Information confidential and shall ensure that none any of its employees, agents, representatives do anything to breach the confidentiality. The User undertakes to use all Confidential Information with such care and confidentiality, but not less than reasonable care, to avoid disclosure, publication or dissemination of Confidential Information out uses with its own similar information that it does not wish to disclose, publish or disseminate.

The User may disclose Confidential Information only to (i) its employees, representatives, agents or contractors on a ‘need to know’ basis and only for the purposes of performance of its obligations under the transaction/Services; (ii) the extent required by any regulatory authority or governmental authority under applicable law; and (iii) any other party with the User’s prior written consent.

The User agrees (i) to make all reasonable measures to protect the Confidential Information against misuse, loss, destruction, deletion and/or alteration; (ii) use the Confidential Information only in connection with the Services/transaction for which the Confidential Information is obtained; and (iii) not to misuse or permit misuse directly or indirectly, commercially exploit the Confidential Information of Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited) available for it through the Platform for economic or otherwise prejudicial to Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited).

The storage, usage and transmission of all information obtained by it through the Platform, shall at all times be in accordance with the Information Technology Act, 2000 read with Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 and all other applicable laws.

In the event Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited) obtains any Personal Data or Confidential Information pursuant to any transaction/Services, it shall only undertake the processing of Personal Data/Confidential Information reasonably required in connection with the performance of its obligations under the transaction/Services, to the extent any such Personal Data and/or Confidential.

Information is required to be used by Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited) for any purpose not expressly set out herein, prior written consent/permission of the transaction/Services contemplated hereunder, the same shall take place pursuant to obtaining prior consent from the User in this regard.

Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited) shall at all times have appropriate technical and organisational measures in place(i) prevent unauthorised or unlawful processing of any Personal Data/Confidential Information; (ii) protect against accidental loss, destruction, damage; (iii) ensure the reliability of its employees and contractors having access to the Personal Data/Confidential Information.

Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited)’s, its employees, agents, and associates, shall not be liable with respect to any subject matter relating to the T&C under any contract or torts, or on account of negligence, strict liability or other legal or equitable rights for (i) any special or consequential damages; (ii) for interruption of use; (iii) loss or corruption of data.

Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited) shall not be liable or responsible for (i) any faulty operation of system during accessing of Platform or during the transaction; (ii) any damage that occurs due to any information provided by the User but not being processed by Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited) or not being received promptly or independently as a consequence of technical faults with the Platform whether or not in Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited)’s control; (iii) any loss or damage caused due any bugs, viruses, worms, malwares, spyware or associated program that may infect the User’s computer, software, data or any other property caused by accessing or using the Platform or availing any Services, or from any unauthorised modification or attachment received from Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited).

Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited) shall not be responsible for any indirect losses including, without limitation, loss of income, business, profits, data or any injury to reputation, howsoever arising.

The User acknowledges that Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited) aims to facilitate seamless data and transaction processing and that Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited) shall not responsible for any failure of the Platform to store, transfer or delete data or for the corruption or loss of any data, information or content contained therein.

The T&C are binding on the User, its successors and permitted assigns. It may not transfer, assign, charge or otherwise dispose of any of its rights, benefits, liabilities and obligations, under the T&C without the prior written consent of Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited).

However, Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited) may transfer, assign, sub-contract or otherwise dispose of any of its rights, benefits, liabilities or obligations under the T&C at any time or sub-contract or supervisor third party to satisfy its obligations, without any necessity to notify the User.

All the files used to store data and process the transaction will adhere to reasonable security standards, which will be at par with Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited)’s security standards for processing and storing its own information at a similar nature. Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited) has implemented industry standard practices and procedures to ensure the security and confidentiality of all transaction and related data, and that the User against unauthorised access or breaches to the security or integrity of any transaction and related data, and protect the User against unauthorised access to the data.

The User further acknowledges and agrees that it has granted Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited) the permission and authorisation to use and right to store and transfer its data, as part of the Services.

Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited) does not claim any ownership, intellectual property rights or other rights whatsoever outside the scope of what is necessary to provide the Services.

The Platform and the arrangement and processes thereof, including, but not limited to, text, graphics, User interfaces, visual interfaces, and the computer code, source code, object code and a created by Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited)); and the design, structure and arrangement thereof (collectively, the ‘copyright content’); and the design, structure, and arrangement intellectual property and (a) the text of Platform and (b) the content and software written content of Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited).

The trademarks, logos and marks displayed on the Platform are the property of Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited) or the User of any other counterparty, as the case may be. The User must not use any trademarks, logos and marks not belonging to it, without the prior consent or authorisation, as the case may be. In the event the User infringes or attempts to infringe the copyrights or other intellectual property rights of Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited), Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited) reserves its right.

The User agrees to indemnify, defend and hold harmless Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited), its affiliates, and their respective directors, officers, employees and agents from and against any and all claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with the User’s breach of the T&C, the User’s violation of any applicable law, or the User’s infringement of any third-party rights.

This indemnity shall survive the termination or expiry of the T&C and the User’s use of the Platform and Services.

The T&C shall be governed by and construed in accordance with the laws of India. The courts at Chennai, Tamil Nadu shall have exclusive jurisdiction over any disputes arising out of or in connection with the T&C, subject to the dispute resolution mechanism set out herein.

Any dispute or grievance may be raised through the grievance redressal mechanism notified on the Platform. Complaints not resolved to satisfaction may be escalated to SEBI through the SCORES portal at scores.sebi.gov.in or the SMART ODR portal at smartodr.in.

Aspero Markets Private Limited (formerly known as Credavenue Securities Private Limited) reserves the right to amend, modify or update the T&C at any time, with such changes being effective upon posting on the Platform. Continued use of the Platform constitutes acceptance of the amended T&C.
